NextChem buys 83.5% of Conser

Strategic acquisition for the Maire Tecnimont Group which further strengthens its leadership in the polymer sector

Maire Tecnimont announces expansion, through its subsidiary Next Chem Holdingin the markets for technologies for high added value derivatives and for biodegradable plastic intermediates with theacquisition of an 83.5% stake in Conser, a proprietary technology and process engineering company based in Rome. Founded more than 50 years ago, Conser was developed by Eng. Flavio Simola, who led the company to the technological excellence it represents today. The closing, subject to the typical conditions for this type of transaction, is expected by April 15, 2023. NextChem Holding also holds the option to acquire the remaining 16.5% stake within the next three years. The acquisition of Conser, which in 2022 developed total expected revenues of around 25 million euros, has a strategic value as it allows the Group to enter new markets.

Conser can count on an extremely diversified portfolio of technological patents dedicated to the energy transition and processes for fine chemicals with high added value. The portfolio includes flexible and cost-effective technologies for maleic anhydride, butanediol and dimethyl succinate, which are key elements for the production of biodegradable plastics, in particular polybutylene succinate (Pbs) and polybutylene adipate co-terephthalate (Pbat). . Conser’s portfolio also includes technologies for liquid organic hydrogen carriers, fine chemicals for the production of lithium batteries and bio-based derivatives (vegetable glycerine).

Pbs and Pbat have excellent biodegradation properties and their consolidated markets show very promising prospects, thanks to a growing demand especially in Asia, where Conser has licensed more than half of the plants for various world-class customers in the last year. Conser will benefit from Maire Tecnimont Group’s technological know-how and experience to further optimize its current and future technologiesin order to develop inter alia a fully biodegradable or bio-based polymer.

With this strategic acquisition, Maire Tecnimont further strengthens its lleadership in the polymer industry adding technologies for biodegradable plastics intermediates and value-added specialty chemicals to its technology portfolio, with the aim of combining these with its integrated project execution capability, while leveraging its international commercial network.
